1. Introduction

Welcome to Sticky Alchemy. These Terms and Conditions are between you and RecreationalCoder LLC (doing business as Sticky Alchemy, "Sticky Alchemy", "we", "us", or "our"). These Terms govern your use of the Sticky Alchemy website and services, including our AI-powered design generation platform and print-on-demand services (collectively, the "Services").

By accessing our website or using our Services, you agree to be bound by these Terms and Conditions. If you disagree with any part of these terms, you may not access the Services.

Eligibility: You must be at least 13 years old to use the Services. If you are under 18, you represent that you have your parent's or guardian's permission to use the Services. The Services may include user-generated and AI-generated content that could be inappropriate for minors, and we do not intend for children under 13 to use the Services.

2. Definitions

"User" refers to any individual who accesses or uses the Services.

"Content" refers to prompts, designs, images, and other materials generated or submitted through the Services.

"NSFW" refers to content that may be inappropriate for minors, including content that is sexually explicit, contains nudity, or is otherwise offensive or objectionable.

"Products" refers to physical items produced and sold through the Services.

"Credits" refers to the digital currency used within the platform to generate designs.

3. Account Registration

To use certain features of the Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding the password that you use to access the Services and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account.

4. Credits and Payment

Certain features of our Services require the use of Credits. New users may receive complimentary Credits upon registration.

Additional Credits can be purchased through our platform. All payments are processed securely through our payment processors.

Credits have no cash value and cannot be transferred, exchanged, or refunded except as explicitly permitted by Sticky Alchemy.

Credits may be subject to additional terms displayed at purchase or in-product. Credits are intended for use only within the Services and may be revoked, suspended, or adjusted if we reasonably believe they were obtained through fraud, abuse, or a violation of these Terms.

Prohibited Activities: Attempting to manipulate the Services to obtain more Credits than you have been given or have purchased is strictly prohibited and may result in immediate account termination, legal action, and forfeiture of any products or services acquired through such manipulation. This includes exploiting technical vulnerabilities, creating multiple accounts to access free credits, or any other methods that circumvent our payment systems.

5. Intellectual Property Rights

Your Content: You retain any rights you may have in the Content you submit to the Services (for example, prompts or text you input). As between you and Sticky Alchemy, Sticky Alchemy owns the Services and all associated software, code, and trademarks.

License to Sticky Alchemy: You grant Sticky Alchemy a worldwide, royalty-free license to host, store, reproduce, modify, create derivative works of, and display your Content solely to operate, provide, maintain, and improve the Services, including for safety, abuse prevention, and customer support. If you enable features that make Content public, you also grant Sticky Alchemy the right to display that public Content to other users and to the public (including in marketing and showcasing examples). Where enabled by the Services, other users may be able to view and save public Content.

Third-Party AI Services: You acknowledge that the designs are generated using artificial intelligence technology, specifically the Recraft API, and Sticky Alchemy makes no representations or warranties regarding the uniqueness, originality, or suitability of the generated designs. Sticky Alchemy is not responsible for the design output as it uses the Recraft API, and any limitations, biases, or issues inherent to the Recraft API may be present in the generated designs.

Rights and responsibility: You are responsible for the Content you submit and represent that you have the rights necessary to submit it and to grant the licenses in these Terms. You agree not to submit Content that infringes others' rights, violates law, or violates platform or provider policies.

6. Copyright Complaints (DMCA)

If you believe Content on the Services infringes your copyright, please contact us at support@stickyalchemy.com. Your notice should include: (1) your contact information; (2) a description of the copyrighted work you claim has been infringed; (3) enough information for us to locate the allegedly infringing material; (4) a statement that you have a good-faith belief the use is not authorized; and (5) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the owner or authorized to act on the owner's behalf.

7. Product Orders and Shipping

Products ordered through our Services are produced on-demand based on the designs generated on or uploaded to our platform. Limited Liability for Products: Sticky Alchemy is not financially liable for any misprints, damaged goods, quality issues, or delivery problems. While we strive to ensure high-quality products, variations in color, size, appearance, and print quality may occur due to the nature of print-on-demand production and the limitations of our production partners. By placing an order, you acknowledge and accept these potential variations.

Refunds and Returns: Our refund and return policy is limited to cases of significant manufacturing defects or damage on arrival. To request a replacement or refund, you must contact us within 30 days of delivery and provide supporting information (for example, photos and order details). Minor variations in color, appearance, or small imperfections are not eligible for refunds or returns.

Shipping times and methods vary depending on your location and the shipping option you select. Sticky Alchemy is not responsible for delays caused by shipping carriers, customs, or any other third-party logistics issues.

Taxes and duties: Prices may not include taxes, duties, or customs fees. You are responsible for any applicable taxes, duties, and customs fees.

8. Prohibited Uses

You agree not to use the Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation
  • To generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable
  • To generate, upload, or use Content that is NSFW or otherwise inappropriate where prohibited by law, regulation, or applicable platform and third-party provider rules
  • To impersonate or attempt to impersonate Sticky Alchemy, a Sticky Alchemy employee, another user, or any other person or entity
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Services, the server on which the Services is stored, or any server, computer, or database connected to the Services
  • To manipulate the website or employ technical exploits to obtain more credits than you've been given or paid for, or to otherwise circumvent our payment systems

Content filters and potential exposure: We use automated systems and (where available) human review to label, filter, restrict, or remove Content (including Content labeled NSFW) and to curate certain areas of the Services. For example, public discovery surfaces may be intended to show only Content labeled as safe. However, Content moderation and labeling are not perfect, and we do not guarantee that you will not encounter Content you find offensive, inappropriate, or NSFW, including within your own generated designs, saved designs, or other areas of the Services.

No duty to monitor: We are not obligated to monitor Content, and we may (but are not required to) remove or restrict access to any Content or account at any time. We may also block or refuse prompts or outputs that our systems or third-party providers determine may violate safety or content policies.

9. Disclaimer of Warranties

THE SERVICES, INCLUDING ALL CONTENT, GENERATED DESIGNS, AND PRODUCTS, ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, STICKY ALCHEMY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, STICKY ALCHEMY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY GENERATED DESIGNS WILL BE UNIQUE, ORIGINAL, OR NON-INFRINGING. THIRD-PARTY SERVICES (INCLUDING THE RECRAFT API) MAY PRODUCE OUTPUTS THAT ARE INACCURATE, OFFENSIVE, OR OTHERWISE UNDESIRABLE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STICKY ALCHEMY, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Your exposure to Content you find offensive, inappropriate, or NSFW, including any inability to prevent or avoid viewing such Content
  • Unauthorized access, use, or alteration of your transmissions or content
  • The quality, accuracy, or appropriateness of any designs generated using our Services, including any issues arising from the use of the Recraft API
  • Any defects, errors, or imperfections in Products ordered through our Services
  • Delays, damages, or losses in shipping or delivery of Products

Liability cap: TO THE MAXIMUM EXTENT PERMITTED BY LAW, STICKY ALCHEMY'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) $100.00 OR (B) THE AMOUNTS YOU PAID TO STICKY ALCHEMY FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so some of the above limitations may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless Sticky Alchemy, its affiliates, officers, directors, employees, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms and Conditions or your use of the Services.

12. Termination and Suspension

We may suspend or terminate your access to the Services at any time, with or without cause or notice, if we reasonably believe you have violated these Terms, engaged in fraud or abuse, or for any other reason we deem necessary. Upon termination, your right to use the Services will immediately cease.

If we terminate your account due to a violation of these Terms or fraud, you will forfeit any unused Credits and may not be eligible for a refund of any amounts paid. If you terminate your account voluntarily, unused Credits may be forfeited unless otherwise stated in our policies or as required by applicable law.

You may stop using the Services at any time. Sections of these Terms that by their nature should survive termination (including intellectual property, indemnification, limitation of liability, and dispute resolution) will survive termination.

13. Dispute Resolution; Arbitration; Class Action Waiver

Informal resolution first: If you have a dispute with Sticky Alchemy, you agree to contact us first and attempt to resolve it informally by emailing support@stickyalchemy.com. Please include your name, the email address associated with your account, and a description of the dispute and the relief you are seeking.

Arbitration agreement: Except as described in "Small claims and injunctive relief" below, you and Sticky Alchemy agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding, individual arbitration and not in court.

Class action waiver: You and Sticky Alchemy agree that disputes will be brought only on an individual basis and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding.

Small claims and injunctive relief: Either party may seek relief in small claims court for disputes within that court's jurisdiction, and either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened misuse of intellectual property or unauthorized access to the Services.

Arbitration procedures: The arbitration will be conducted on an individual basis by a neutral arbitrator. Unless you and Sticky Alchemy agree otherwise, the arbitration will be administered by the American Arbitration Association (AAA) under its applicable consumer arbitration rules. The arbitrator may award the same damages and relief that a court could award on an individual basis. The arbitrator's decision will be final and binding, subject to limited review under applicable law.

Opt-out: If you do not want to be bound by the arbitration agreement and class action waiver in this section, you may opt out by emailing support@stickyalchemy.com within 30 days of first accepting these Terms. Your opt-out notice must include your name and the email address associated with your account.

Severability: If any portion of this section is found to be unenforceable, the remainder will remain in effect. If the class action waiver is found to be unenforceable, then the arbitration agreement will not apply to a class, collective, consolidated, or representative proceeding.

14. Changes to Terms

Sticky Alchemy may update these Terms from time to time. If we make a material change, we will provide notice by posting the updated Terms on this page and updating the "Last updated" date shown below. Your continued use of the Services after the change becomes effective means you accept the updated Terms.

15. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
